Welcome to Do Authentication. These Terms of Service ("Terms") govern your access to and use of the Do Authentication website, mobile applications, APIs, and all related services (collectively, the "Service") operated by Do Authentication Inc. ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Do Authentication Inc.
By creating an account, submitting an item for verification, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Do Authentication provides luxury goods authentication services. Users may submit photographs and information about items including but not limited to handbags, watches, jewelry, sneakers, and accessories. Our team of expert authenticators and proprietary technology review submissions and provide authentication verdicts.
The Service includes, but is not limited to: (a) submission and review of items for authentication; (b) issuance of Digital Passports (certificates of authenticity); (c) certificate verification lookup; (d) API access for enterprise partners; and (e) related customer support services.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, abusive behavior toward staff, or suspected involvement in counterfeiting.
Certain features of the Service require payment of fees. All fees are quoted in U.S. Dollars unless otherwise specified. You agree to pay all fees associated with your use of the Service in accordance with the pricing and payment terms presented to you at the time of purchase.
All payments are non-refundable except as expressly set forth in these Terms or as required by applicable law. If we are unable to provide a definitive authentication verdict for your submitted item, you may be eligible for a refund at our sole discretion.
We reserve the right to change our fees at any time. Any fee changes will be effective immediately upon posting on the Service. Your continued use of the Service after any fee change constitutes your acceptance of the new fees.
You are responsible for all taxes associated with your use of the Service, except for taxes based on our net income. If we are required to collect or pay taxes on your behalf, such taxes will be charged to you.
THE SERVICE PROVIDES OPINIONS REGARDING THE AUTHENTICITY OF SUBMITTED ITEMS BASED ON THE INFORMATION PROVIDED. AUTHENTICATION VERDICTS ARE NOT GUARANTEES AND SHOULD NOT BE CONSTRUED AS SUCH.
Our authentication verdicts are based on visual inspection of photographs submitted by users and comparison against our proprietary database and expert knowledge. We do not physically inspect items unless explicitly stated. The accuracy of our verdicts depends in part on the quality and accuracy of the photographs and information you provide.
We expressly disclaim any liability for authentication verdicts based on photographs that are blurry, manipulated, filtered, incomplete, or otherwise fail to accurately represent the item. Submitting altered or misleading photographs may result in an inaccurate verdict for which we bear no responsibility.
Authentication verdicts represent our professional opinion at the time of issuance. We reserve the right to revise or revoke any verdict if new information comes to light. A certificate of authenticity does not guarantee resale value, condition, or any attribute other than our opinion on authenticity.
Our Financial Guarantee is subject to the specific terms and conditions set forth on our Financial Guarantee page. The Financial Guarantee is limited, conditional, and subject to strict eligibility requirements and exclusions. The Financial Guarantee does not constitute a warranty or insurance product.
The maximum payout under the Financial Guarantee is $10,000 USD per claim, limited to one claim per user per calendar year, and is further limited to the lesser of the actual purchase price paid or $10,000. We reserve the right to modify, suspend, or discontinue the Financial Guarantee at any time.
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Do Authentication Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The Do Authentication name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Do Authentication Inc. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include any resale or commercial use of the Service; any collection and use of any product listings, descriptions, or prices; any derivative use of the Service; or any use of data mining, robots, or similar data gathering and extraction tools.
By submitting photographs, descriptions, or any other content to the Service ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and improving the Service.
You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate the rights of any third party. You are solely responsible for all User Content you submit.
You agree not to use the Service to: (a) submit false, misleading, or fraudulent information; (b) attempt to deceive our authenticators or manipulate our systems; (c) engage in any activity related to counterfeiting or trafficking in counterfeit goods; (d) violate any applicable law or regulation; (e) harass, abuse, or threaten our staff or other users; (f) attempt to reverse engineer, decompile, or disassemble any part of the Service; (g) interfere with or disrupt the Service or servers or networks connected to the Service; or (h) use the Service for any commercial purpose without our express written consent.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DO AUTHENTICATION INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS; OR (E) ANY AUTHENTICATION VERDICT WILL BE ACCURATE OR ERROR-FREE.
You agree to defend, indemnify, and hold harmless Do Authentication Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your User Content; (d) any transaction involving an item authenticated or not authenticated through the Service; or (e) your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Do Authentication Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
The arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, unless otherwise agreed by the parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND DO AUTHENTICATION INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
No waiver by Do Authentication Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Do Authentication Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Do Authentication Inc. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
